The person should have deep knowledge of UAE Banking Governance and Compliance.
Minimum 8 to 10 years of experience

The Governance & Compliance Officer is responsible for ensuring that the bank operates in full compliance with UAE Central Bank (CBUAE) regulations, internal policies, international standards, and industry best practices.

1. Regulatory Compliance

  • Monitor, interpret, and implement UAE Central Bank regulations, circulars, notices, and compliance updates.
  • Ensure adherence to AML/CFT requirements as per UAE Cabinet Resolution, CBUAE, FIU, and FATF guidelines.
  • Prepare and submit regulatory reports accurately and on time (CBUAE, FIU, UAE Data Office, etc.).
  • Liaise with regulatory bodies during audits, inspections, and inquiries.

2. Governance & Policy Management

  • Develop, review, and maintain corporate governance frameworks, charters, and internal policies.
  • Ensure alignment of internal controls with CBUAE Corporate Governance Regulations.
  • Conduct periodic policy reviews and update governance documentation.
  • Support the Board and senior management in governance reporting and compliance dashboards.

3. Risk & Control Oversight

  • Identify regulatory, operational, and conduct risks, and propose mitigation strategies.
  • Collaborate with Risk Management to ensure compliance risks are captured in the risk register.
  • Conduct internal compliance reviews and control testing on high-risk processes.

4. AML / Sanctions Compliance

  • Perform AML monitoring, transaction surveillance, and sanctions screening review.
  • Escalate suspicious transactions and support STR/SAR filing with the FIU.
  • Ensure compliance with UAE AML laws, OFAC, UN, and EU sanction lists.

5. Training & Awareness

  • Deliver compliance and governance training to employees, including updates on new regulations.
  • Build awareness on anti-bribery, AML, sanctions, consumer protection, data privacy, and CTF regulations.

6. Audit & Reporting

  • Prepare compliance reports for senior management, Board committees, and regulators.
  • Support internal and external audits, ensuring timely closure of audit findings.

7. Data Privacy & Consumer Protection

  • Ensure adherence to UAE Data Protection Law and CBUAE Consumer Protection Regulation (CPR).
  • Assist business units in maintaining customer data confidentiality and fair treatment.
